The Corruption of Foreign Officials Act (“CFPOA”) is aimed at preventing the bribery by Canadian businesses and employees of public officials outside of Canada. New Circular 13 on enterprise registration

The Ministry of Planning and Investment issued a new Circular 13/2013/TT-BKHDT on 21 January 2013 (Circular 13) to guide enterprise registration.

The purpose of Circular 13 is to give further details on how to implement some specific provisions of the Law on Enterprises and its implementing Decree 102, as well as Decree 43 on Enterprises Registration which was amended by Decree 5 on 9 January 2013.

The new Circular 13 will be effective on 15 April 2013 and replace Circular 14/2010/TT-BKH dated 4 June 2010.

Much of the content of Circular 13 repeats the existing regulations contained in Law on Enterprises, Decree 102 and Decree 43 on various topics.
